Terms of Service

Welcome to VidNexus. These Terms govern your use of the VidNexus desktop application and the related website at vidnexus.app. By purchasing, downloading, or using VidNexus, you agree to these Terms.

VidNexus is operated by MYD International LLC ("we", "us"), a Wyoming limited liability company, 30 N Gould St Ste R, Sheridan, Wyoming 82801-6317, United States. Payments are processed by our payment provider, which acts as Merchant of Record for your purchase and is named on your receipt.

1. License Grant

When you purchase VidNexus, we grant you a perpetual, non-exclusive, non-transferable license to install and use VidNexus on one (1) machine that you personally own.

This is a lifetime license for the v1.x release line. This means:

• You receive all updates to v1.x (1.0, 1.1, 1.2, … 1.99) at no additional cost.
• Major version releases (v2.0, v3.0) are separate paid upgrades. Existing license holders can upgrade to each new major version for a flat fee of $199. Major versions represent substantial architectural changes, not normal feature additions.
• We commit to a minimum of 12 months between major versions to ensure your v1 license retains value.

Your license is bound to the machine you activate. You may move it to another machine you own by deactivating the old one and activating the new one (limited to 3 transfers per calendar year).

2. Restrictions

You may not:

• Resell, sublicense, rent, lease, or distribute VidNexus to third parties.
• Reverse-engineer, decompile, or attempt to extract the source code, except where such restriction is prohibited by applicable law.
• Remove or alter any copyright notices, license validation mechanisms, or attribution.
• Share your license key publicly or with anyone outside your household / immediate business.
• Use VidNexus to generate content that violates the laws of your jurisdiction, infringes on third-party intellectual property, or constitutes defamation, harassment, or fraud.
• Use VidNexus, including its AI image and video features, to create sexual, pornographic or sexually suggestive content, any content involving minors in a sexual way, deepfakes or face swaps of real people, or violent or hateful content, as set out in our Acceptable Use Policy.
• Try to get around the content check that screens prompts before they are sent to an image or video generator.

Violation of these restrictions may result in license revocation without refund.

3. Content Generated With VidNexus

You own everything you create with VidNexus. Scripts, voiceovers, videos, and any other output remain entirely yours. We claim no rights, royalties, or ongoing usage fees on content produced with the software.

You are solely responsible for ensuring you have the rights to any third-party content you incorporate (stock footage, music, voices). VidNexus shows attribution requirements where a source has them but cannot verify your compliance.

4. Third-Party Services

VidNexus integrates with third-party APIs that you choose to enable using your own API keys:

• ElevenLabs (text-to-speech)
• Pexels, Pixabay, Coverr (stock footage)
• Internet Archive, Wikimedia Commons, NASA Image and Video Library, DVIDS (public-domain and openly licensed footage; DVIDS with your own key, optional)
• YouTube Data API (channel sync and research tools, optional)
• Pikzels (AI thumbnail generation, optional)
• Higgsfield (AI video clips, optional)
• Mapbox (map motion graphics, optional)
• OpenAI-compatible LLM providers (Ollama local, OpenAI, vLLM, etc.)

Your use of these services is governed by their respective terms. We are not responsible for their availability, pricing changes, or content moderation decisions. API costs are billed directly to your accounts with those providers.

5. Purchases, Payment, Delivery and Refunds

VidNexus licenses are one-time purchases in US dollars, at the price shown on our pricing page (team and education licenses on their own pages) when you check out. There are no subscriptions and no recurring charges. Payments are processed by our payment provider, which acts as Merchant of Record: it charges your payment method, issues your receipt and handles sales tax or VAT where it applies.

Delivery is digital and automatic. Right after payment, your license key is emailed to the address you used at checkout, and the Windows installer is available from your account at vidnexus.app/account. Nothing physical is shipped.

6. Updates and Support

Updates to VidNexus v1.x are delivered through the in-app updater. We commit to:

• Security updates and bug fixes within reasonable timeframes after disclosure.
• Feature additions at our discretion, prioritized by customer feedback (Early Bird customers get priority input).
• Email support at support@vidnexus.app with a typical response time of 24 hours on business days.

We do not commit to a fixed update cadence. We do not commit to supporting third-party services that change their APIs in ways incompatible with VidNexus, though we will make reasonable effort to adapt.

7. Warranty Disclaimer

VidNexus is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that VidNexus will be uninterrupted, error-free, or compatible with any specific hardware or operating system version. We do not warrant the accuracy or relevance of AI-generated content.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from or related to VidNexus shall not exceed the amount you paid for the license in the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost data, or business interruption.

9. Termination

You may stop using VidNexus at any time. We may terminate your license for material breach of these Terms (e.g. reselling, license key abuse, fraudulent chargeback). Termination of an Early Bird or Lifetime license for breach is without refund.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Disputes shall be resolved in the state or federal courts located in Wyoming, with the exception that consumers in the EU/EEA and the UK retain the protections and venue rights of their local consumer law.

11. Changes to These Terms

We may update these Terms occasionally. Material changes will be communicated via email to active license holders at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
